These Terms of Service ("Terms") are an agreement between you and [Company legal name] ("Luna", "we", "us") for the use of the Luna Agent website, waitlist and service. By joining the waitlist, creating an account or using Luna, you accept these Terms. If you do not agree, please do not use Luna.
1. Early access
Luna is in early access. Some features may change, be added or be removed, and the service may have interruptions or errors while we improve it. Joining the waitlist does not guarantee access or a launch date.
2. Who can use Luna
- You must be at least 18 years old and able to enter into a binding contract.
- Luna is for business use. If you use it on behalf of a company, you confirm that you have authority to accept these Terms for it; "you" then includes that company.
- You are responsible for the information in your account being accurate, for keeping your password and devices secure, and for everything done from your account. Tell us right away if you suspect unauthorized use.
3. What Luna does and who decides
Luna reads the information you give it or connect, keeps your to-dos in order, answers questions, drafts messages and proposes actions. Actions that send something or change something in your business, such as messaging a customer, ordering from a supplier or publishing a promotion, are carried out only after you approve them, or under automations that you turn on and can turn off at any time.
You are responsible for the actions you approve or automate and for their consequences, including the content of messages sent in your business's name.
4. Connected apps and third-party services
Luna can connect to apps such as WhatsApp, email, calendar, payments and social media. When you connect one, you authorize Luna to access and use it on your behalf, within the permissions you grant. Those services are provided by other companies and are governed by their own terms; we are not responsible for their availability or for changes they make.
You agree to use Luna in compliance with the rules of those services and with the laws that apply to your communications, including consent and opt-out requirements for messages, texts, calls and marketing emails (for example, the Telephone Consumer Protection Act and the CAN-SPAM Act).
5. Your content and data
Your business information, files, messages and the data you connect ("Your Content") remain yours. You give us a limited license to host, process and transmit Your Content only to provide, secure and support Luna, as described in our Privacy Policy. You confirm you have the right to share Your Content with us, including the information of your customers and contacts.
6. AI-generated results
Luna uses artificial intelligence. Its summaries, drafts and proposals can be incomplete or incorrect, so review them before approving them. Luna does not provide legal, tax, accounting, financial or other professional advice; check important decisions with a qualified professional. The AI Transparency page explains how Luna uses AI.
7. Acceptable use
You agree not to use Luna to:
- Break the law, defraud, or deceive people, including making anyone believe they are talking to a person when they are not.
- Send spam or messages to people who have not agreed to receive them or who have asked you to stop.
- Harass, discriminate against or threaten anyone, or share content that is illegal or infringes others' rights.
- Make decisions about people's credit, employment, housing, insurance or access to essential services based only on Luna's output.
- Access Luna without permission, interfere with its operation, test its vulnerabilities without our authorization, or copy, reverse engineer or resell it.
8. Fees
Luna is free during early access. If we introduce paid plans, we will tell you the price, what it includes and how billing works before you are charged, and you will decide whether to subscribe. Prices may not include applicable taxes.
9. Our intellectual property
Luna, its software, design, name and logo belong to us or our licensors and are protected by law. These Terms give you a limited, non-exclusive, non-transferable and revocable right to use Luna for your business; they do not transfer any ownership. If you send us ideas or feedback, we may use them freely without any obligation to you.
10. Suspension and termination
You can stop using Luna and close your account at any time. We may suspend or close your access if you violate these Terms, if required by law, or to protect Luna, our users or others; when reasonable, we will notify you first. Before your account is closed, you can ask us for a copy of Your Content. Sections that by their nature should continue (such as 5, 9 and 11 to 15) survive termination.
11. Disclaimers
LUNA IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT LUNA WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS RESULTS WILL BE ACCURATE.
12. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO LUNA WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100). Some states do not allow these limitations, so they may not apply to you.
13. Indemnification
You agree to defend and indemnify us against claims by third parties arising from Your Content, from the actions you approve or automate in Luna, or from your violation of these Terms or the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of [State] and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to write to us at [legal@email.com] and try to resolve it informally for 30 days. If it is not resolved, any dispute will be heard in the state or federal courts located in [County, State], and both parties consent to their jurisdiction.
15. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect, unless it is required sooner by law or for security. If you keep using Luna after the change takes effect, you accept the new Terms; if you do not agree, you can close your account.
16. General
These Terms, together with the Privacy Policy and the AI Transparency page, are the entire agreement between you and us about Luna. If any part is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.

3. Qué hace Luna y quién decide

Las acciones que mandan algo o cambian algo en tu negocio, como escribirle a un cliente, pedirle a un proveedor o publicar una promoción, solo se hacen después de que tú las apruebas, o con automatizaciones que tú prendes y puedes apagar cuando quieras.
Eres responsable de las acciones que apruebas o automatizas y de sus consecuencias, incluido el contenido de los mensajes que se mandan a nombre de tu negocio.
4. Apps conectadas y servicios de terceros
Luna puede conectarse con apps como WhatsApp, correo, calendario, pagos y redes sociales. Cuando conectas una, autorizas a Luna a usarla a tu nombre, dentro de los permisos que des. Esos servicios los dan otras empresas y se rigen por sus propios términos; no somos responsables de su disponibilidad ni de los cambios que hagan.

6. Resultados generados por IA
Luna usa inteligencia artificial. Sus resúmenes, borradores y propuestas pueden estar incompletos o equivocados, así que revísalos antes de aprobarlos. Luna no da asesoría legal, fiscal, contable, financiera ni de ninguna otra profesión; consulta las decisiones importantes con un profesional. 7. Uso aceptable
Te comprometes a no usar Luna para:
- Violar la ley, cometer fraude o engañar a las personas, incluido hacerles creer que hablan con una persona cuando no es así.
- Mandar spam o mensajes a personas que no aceptaron recibirlos o que pidieron que dejaras de escribirles.
- Acosar, discriminar o amenazar a alguien, o compartir contenido ilegal o que viole derechos de otros.
- Tomar decisiones sobre el crédito, empleo, vivienda, seguros o acceso a servicios esenciales de una persona basándote solo en lo que diga Luna.

8. Precios
Luna es gratis durante el acceso anticipado. Si lanzamos planes de pago, te diremos el precio, qué incluye y cómo se cobra antes de cobrarte, y tú decidirás si te suscribes. Los precios pueden no incluir los impuestos que apliquen.
9. Nuestra propiedad intelectual
Luna, su software, diseño, nombre y logo son nuestros o de quienes nos dan licencia, y están protegidos por la ley. Estos Términos te dan un derecho limitado, no exclusivo, no transferible y revocable para usar Luna en tu negocio; no te transfieren ninguna propiedad. 10. Suspensión y cierre
Puedes dejar de usar Luna y cerrar tu cuenta cuando quieras. Antes de que se cierre tu cuenta, puedes pedirnos una copia de Tu Contenido. 11. Exclusión de garantías
LUNA SE OFRECE "TAL CUAL" Y "SEGÚN DISPONIBILIDAD". No puedes transferir estos Términos sin nuestro consentimiento; nosotros podemos transferirlos como parte de una fusión, adquisición o venta de activos.
